These Terms of Service ("Terms") govern your access to and use of the GC-CAD website, software, and related services (collectively, the "Service"), operated by GC-CAD, LLC ("GC-CAD," "we," "us," or "our"), a Tennessee limited liability company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
2. The Service
GC-CAD provides CAD/CAM software for flat-plate plasma and laser cutting ("GCnester" or the "Software"), along with related website features such as account management, licensing, downloads, and customer support.
3. Accounts
You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You agree to provide accurate information when creating an account and to keep it up to date.
4. Subscription Plans, Billing, and Payment
The Service is offered on a subscription basis across multiple tiers (Standard, Pro, and Business), billed monthly or annually. Annual subscriptions are billed at a discount equivalent to two free months compared to monthly billing.
All payments are processed by Stripe. GC-CAD does not directly collect or store your payment card information. By subscribing, you authorize GC-CAD (via Stripe) to charge your chosen payment method on a recurring basis according to your selected plan.
Each plan includes a number of seats. A seat is one computer on which the Software is activated at a time; you may deactivate a computer from your account to move its seat to another computer. Business plans include three seats and additional seats may be purchased.
5. Cancellation
You may cancel your subscription at any time. Cancellations take effect at the start of the next billing cycle; we do not provide prorated credit for the unused portion of a current billing period. You will retain access to the Service through the end of your then-current paid period. See our Refund Policy for information about refunds on a first payment.
6. License to Use the Software
Your right to install and use the GCnester software is governed by our End User License Agreement (EULA), which is incorporated into these Terms by reference.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
- Circumvent or attempt to circumvent licensing or activation mechanisms;
- Use the Service in violation of any applicable law or regulation; or
- Interfere with or disrupt the integrity or performance of the Service.
8. Intellectual Property
The Service, including the Software, website content, trademarks, and logos, is owned by GC-CAD, LLC or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
9. Third-Party Services
The Service relies on third-party providers to operate, including Stripe (payments), Resend (email delivery), Cloudflare (file storage and DNS), Neon (database hosting), Vercel (website hosting), and a Discourse-based community forum. Your use of certain features may be subject to those providers' own terms.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GC-CAD, LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO GC-CAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. GC-CAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless GC-CAD, LLC and its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Washington County, Tennessee, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
